1. Agreement to Terms
These Terms of Service ("Terms") govern your access to and use of Lily, including getLily.ai, app.getlily.ai, and related services (collectively, the "Service"). By accessing or using the Service, you agree to these Terms and our Privacy Policy.
If you do not agree, do not use the Service.
2. The Service
Lily is a performance-based TikTok campaign marketplace that connects brands and creators. Brands can launch campaigns with defined budgets and payout structures. Creators can browse campaigns, submit content, and earn based on campaign terms.
Lily is currently in private launch. Features, availability, and access may be limited while we onboard founding brands and creators.
3. Eligibility
- You must be at least 13 years old to use the Service, subject to TikTok's own age requirements
- You must be at least 18 years old to receive payouts unless valid parental or guardian consent and verification are provided where required by law
- You must provide accurate registration information and maintain one account per person or authorized business entity unless we approve otherwise
- Creators participating in TikTok campaigns must maintain a valid TikTok account in good standing
4. Accounts
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us promptly if you suspect unauthorized access.
We may suspend or terminate accounts that violate these Terms, applicable law, TikTok policies, or campaign rules.
5. Creator Terms
5.1 Campaign participation
Creators may browse campaigns and apply based on eligibility shown in the platform. By applying, you agree to the campaign-specific terms displayed before submission, including content requirements, exclusivity periods, deadlines, and payout structure.
You must:
- Follow the campaign brief and applicable advertising disclosure rules, including FTC endorsement guidelines where applicable
- Submit original content that complies with TikTok's Terms of Service and Community Guidelines
- Submit only content you have the rights to use
- Accept that brands may approve, reject, or request edits before content is posted
5.2 Creator earnings
Creator payouts may include some or all of the following, as shown in each campaign before you apply:
- Base fee: paid per approved video, generally when the brand accepts your submission and the video is posted to TikTok through the campaign workflow
- CPM earnings: paid based on the campaign's CPM rate and total campaign views across approved posts, according to the campaign's shared CPM pool
- Milestone bonuses: paid per approved video when that video reaches specified view thresholds
Campaign cards and acceptance flows show the maximum amount you may earn under the stated terms. Actual earnings depend on approval, posting, and performance.
5.3 Creator platform fees
Lily does not charge creators platform fees on earnings. If you earn payouts under a campaign, you receive the amounts defined by that campaign's terms, subject to verification, compliance review, and applicable tax or payment processing requirements.
5.4 Payouts
Payout timing, minimum thresholds, payment methods, and verification requirements are shown in the platform and may vary by campaign or jurisdiction. We may delay or withhold payouts in cases of suspected fraud, chargebacks, policy violations, or legal requirements.
5.5 Prohibited creator conduct
Creators must not:
- Use bots, fake engagement, view manipulation, or other fraudulent methods
- Submit misleading, infringing, or non-original content
- Circumvent campaign rules or attempt to claim duplicate rewards improperly
- Share account access or impersonate another person
6. Brand Terms
6.1 Campaign creation
Brands are responsible for accurate campaign briefs, lawful advertising practices, and setting appropriate budgets, CPM rates, milestone thresholds, and content requirements. Campaigns must comply with applicable advertising laws and platform policies.
6.2 Brand payments and budget
Brand campaign budgets are charged upfront when a campaign launches or as otherwise stated in the platform. Funds are held securely and released as content is approved and performance milestones are reached.
If campaign CPM or milestone targets are not reached, the corresponding unused budget allocations may be refunded according to the campaign structure and platform rules displayed at launch. Base fees are paid for approved and posted content as defined in the campaign terms.
6.3 Brand review and approval
Brands may review creator submissions before content goes live. Approval decisions should be made in good faith and in accordance with the published campaign terms.
6.4 No guaranteed results
Lily does not guarantee specific views, conversions, creator availability, or campaign performance. Analytics and projections are provided on a best-effort basis.
7. TikTok Integration
Creator participation may require connecting a TikTok account through TikTok's official authorization process. You authorize Lily to access the TikTok data necessary to operate campaigns you join.
You remain responsible for compliance with TikTok's terms and for the content posted to your TikTok account. Lily is not responsible for TikTok outages, policy changes, account actions taken by TikTok, or third-party platform availability.
8. Content and Intellectual Property
8.1 Creator content
You retain ownership of content you create, subject to any campaign-specific license granted to the brand in the campaign terms. You grant Lily a non-exclusive license to host, display, review, analyze, and process your content as needed to operate the Service.
8.2 Brand materials
Brands grant creators only the rights necessary to participate in a campaign, as specified in the campaign brief and platform workflow.
8.3 Lily property
The Service, including software, branding, design, and documentation, is owned by Lily and protected by intellectual property laws. You may not copy, reverse engineer, or misuse the Service except as permitted by these Terms.
9. Website Waitlists and Contact Forms
Submitting your email to a waitlist or contact form does not guarantee access to the platform. We may use the information you provide to evaluate interest, communicate about launch availability, and improve the Service, as described in our Privacy Policy.
10. Prohibited Use
You may not use the Service to:
- Violate any law or third-party rights
- Upload malware, attempt unauthorized access, or disrupt the platform
- Scrape, harvest, or automate access except through approved interfaces
- Harass, abuse, or mislead other users
- Use the Service for unlawful, deceptive, or harmful campaigns or content
11. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, LILY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, error-free, or free from harmful components.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LILY WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO LILY IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100).
13. Indemnification
You agree to defend, indemnify, and hold harmless Lily from claims arising out of your use of the Service, your content, your campaigns, your violation of these Terms, or your violation of any law or third-party rights.
14. Termination
You may stop using the Service at any time. We may suspend or terminate access if you violate these Terms or if we discontinue all or part of the Service. Provisions that by their nature should survive termination will survive, including payment obligations, intellectual property, disclaimers, limitations of liability, and dispute provisions.
15. Governing Law and Disputes
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles, except where mandatory local law requires otherwise.
Except where prohibited by law, disputes will be resolved through binding arbitration on an individual basis, not as part of a class action. Either party may seek injunctive relief in court for intellectual property or unauthorized access issues.
16. Changes to These Terms
We may update these Terms from time to time. Material changes will be posted on this page with an updated date. Continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
